บทคัดย่อ ชื่อสารนิพนธ์การปฏิรูปตลาดหลักทรัพย์แห่งประเทศไทยสู่ประชาคมเศรษฐกิจอาเซียน ชื่อผู้เขียนนายศิระพงศ์ สุยะ ชื่อปริญญาศิลปศาสตร์บัณฑิต ปีการศึกษา2557 การที่ตลาดหลักทรัพย์แห่งประเทศไทยมีโครงสร้างแบบกึ่งภาครัฐทำให้ไม่สามารถแสวงหาประโยชน์จากการรวมกลุ่มของตลาดหลักทรัพย์อาเซียนได้อย่างเต็มที่ และยังถูกลดบทบาทลงอย่างต่อเนื่อง จากการแข่งขันที่รุนแรงของธุรกิจตลาดหลักทรัพย์และระบบ ATS ผ่านเทคโนโลยีที่ทันสมัย นอกจากนั้น ตลาดหลักทรัพย์แบบกึ่งภาครัฐ ไม่มีการกำหนดผู้ถือหุ้นที่ชัดเจนทำให้การบริหารงานขาดสภาพคล่อง เนื่องจากใช้วิธีการลงคะแนนเสียงแบบเอกฉันท์ และไม่สามารถระดมทุนผ่านช่องทางต่างๆ ได้อย่างมีประสิทธิภาพ เช่น การออกเสนอขายให้แก่ประชาชนทั้วไป การเสนอขายให้แก่นักลงทุนในวงจำกัด การเสนอขายให้แก่ผู้ถือหุ้นของบริษัทตามสัดส่วนการถือหุ้น หรือการเสนอขายให้แก่กรรมการ หรือพนักงานของบริษัท เป็นต้น เอกสารวิจัยเชิงคุณภาพนี้ มีวัตถุประสงค์เพื่อวิเคราะห์ปัญหาเชิงโครงสร้างและการบริหารของตลาดหลักทรัพย์แห่งประเทศไทย และเพื่อศึกษาทิศทางการบริหารงานและแนวทางการพัฒนาตลาดหลักทรัพย์แห่งประเทศไทยภายใต้กรอบความร่วมมือของอาเซียนให้สามารถแข่งขันได้ทั้งภายในและภายนอกภูมิภาคอย่างยั่งยืน ผลวิจัยได้ข้อสรุปว่า ความสำเร็จในการปฏิรูปตลาดหลักทรัพย์แห่งประเทศไทยสู่อาเซียนขึ้นอยู่กับการปฏิรูปเชิงโครงสร้างและการบริหารงานจากตลาดหลักทรัพย์แบบดั้งเดิม ด้วยการ Demutualization และจัดสรรหุ้น IPO ผ่านการระดมทุน เพื่อนำมาพัฒนาระบบการซื้อขายและดำเนินงานของตลาดหลักทรัพย์ให้มีประสิทธิภาพสามารถแข่งขันกับตลาดหลักทรัพย์อื่นๆได้ ซึ่งจะทำให้ตลาดหลักทรัพย์สามารถซื้อขายในตลาดหุ้นไทยและตลาดหลักทรัพย์อาเซียน โดยการซื้อขายหุ้นในอาเซียนสามารถทำได้ง่ายขึ้นเนื่องจาก การรวมตัวของประชาคมเศรษฐกิจอาเซียนทำให้อุปสรรคทางด้านภาษี การค้า และการลงทุนจะถูกยกเลิกไป และเปิดโอกาสให้มีการค้าขายเสรีและการลงทุนได้อย่างสะดวกยิ่งขึ้น ตลาดหลักทรัพย์แห่งประเทศไทยควรเร่งจัดตั้งคณะกรรมการแปรสภาพตลาดหลักทรัพย์ ซึ่งทำหน้าที่ในการเสนอแนวทางการปฏิรูปตลาดหลักทรัพย์แห่งประเทศไทย ให้ในมีลักษณะโครงสร้างการบริหารงานในรูปแบบบริษัทจำกัดมหาชน ในนาม บริษัทตลาดหลักทรัพย์แห่งประเทศไทย และนำตลาดหลักทรัพย์เข้าจดทะเบียนซื้อขายในตลาดหลักทรัพย์แห่งประเทศไทยและตลาดหลักทรัพย์อาเซียน ผ่านการจัดสรรหุ้น IPO ให้แก่หน่วยงานของรัฐ ด้วยจัดตั้งกองทุนพัฒนาตลาดตลาดทุน โดยถือหุ้นในอัตราร้อยละ 25 และจัดสรรให้บริษัทหลักทรัพย์สมาชิก และนักลงทุนชาวไทยไม่เกินร้อยละ 50 และนักลงทุนชาวอาเซียนในอัตราร้อยละ 25 การจัดสรรหุ้นดังกล่าวเพื่อทำให้เกิดสภาพคล่องและเป็นการป้องกันการครอบงำบริษัทตลาดหลักทรัพย์แห่งประเทศไทย ซึ่งจะทำให้การบริหารงานของตลาดหลักทรัพย์ไทยมีประสิทธิภาพมากยิ่งขึ้น
