All transferable conducive claims? In principle, any trade receivable is freely transferable. Article l. 442‐6 III of the Code of commerce reminds in relation to contracts concluded by producers, traders, industrialists or craftsmen. In reality, things are less simple; contractual clauses often limit the transferability of the creances1, for reasons besides legitimate (confidentiality, risk of acquisition by a competitor); Furthermore, the assignment of receivables on debtors public entities often requires a celles‐ci agreement. The acquisition of a debt so assume in advance to identify individual cases clauses or rules that restrict the full effect of an assignment of debt or re‐encherissent cost.
