Thứ hai, về quản trị và điều hành doanh nghiệp, các hoạt động đầu tư hiện nay của Vinare tuân thủ các quy định hiện hành của Bộ tài chính và các quy chế nội bộ của Tổng công ty về hoạt động quản lý đầu tư. Hiện nay trong phân cấp đầu tư chủ yếu ở 3 cấp: cấp Tổng giám đốc quyết định, cấp Hội đồng quản trị quyết định và cấp Đại hội đồng cổ đông quyết định . Phân cấp điều hành cho Tổng giám đốc là tương đối hạn chế, giới hạn ra quyết định đầu tư tương đối thấp, nhất là trong những dự án mới hoặc dự án góp vốn cổ phần vào các đối tác đều do HDQT quyết định.
Trong điều hành hoạt động đầu tư hàng ngày, Tổng giám đốc là người quyết định duy nhất và cuối cùng đối với mọi hoạt động đầu tư. Mô hình quản trị như trên đôi khi đã tạo ra những rào cản nhất định trong quá trình xem xét và tham gia các cơ hội đầu tư.
Cơ chế kiểm soát chéo cũng chưa được vận hành một cách đầy đủ để đảm bảo tính minh bạch và quản lý rủi ro tốt.
