تتمثل مسئولية اللجنة في التوصية لمجلس الإدارة بالترشيح لعضوية المجلس والمراجعة السنوية للاحتياجات المطلوبة من المهارات المناسبة لعضوية مجلس الإدارة ومراجعة هيكل وتشكيل مجلس الإدارة من حين لآخر ورفع التوصيات بشأن نقاط القوة و الضعف لأعضاء المجلس و إعطاء الاقتراحات لهم و والتحقق من انعقاد الاجتماعات العادية لمجلس الإدارة بصورة منتظمة والتأكد بشكل سنوي من استقلالية الأعضاء المستقلين والتأكد من عدم وجود مصالح متعارضة وتحديد سياسة المكافآت والحوافز لأعضاء المجلس و الإدارة التنفيذية و متابعة الأمور المتعلقة بهيكل الوظائف والموارد البشرية ورفع التوصيات لمجلس الإدارة،
