ข้อ 2. บริษัทตัวการจะเป็นผู้กำหนดราคาของสินค้า ให้ตัวแทนทราบเป็นครั้งคราวของราคาสินค้าอย่างต่ำสูง และตัวแทนจะไม่จำหน่ายสินค้าต่ำไปกว่าราคาอย่างต่ำที่บริษัทตัวการได้กำหนดไปนั้น

ข้อ 3. ในระหว่างอายุสัญญานี้ ตัวแทนให้คำรับรองและสัญญาว่าไม่จำหน่ายสินค้าอื่นใดอันเป็นสินค้าอื่นใดอันเป็นสินค้าประเภทและชนิดเดียวกันอันเป็นการแข่งขันกับสินค้าของบริษัทตัวการหรือเป็นการกระทบ กระเทือนในการค้าขายสินค้าของตัวการ ไม่ว่าตัวแทนจะได้ทำการในนามตัวแทนเองหรือในนามของผู้ใด

ข้อ 5. ตัวแทนให้คำรับรองและสัญญาว่า จะไม่ทำการปลอม หรือเลียนแบบ หรือแปรสภาพ ของสินค้าของตัวการอย่างใด ๆ เป็นอันขาด
ข้อ 6. ตัวแทน จะต้องจัดทำบัญชีเกี่ยวกับการค้านี้ และจะต้องส่งสำเนาบัญชีการเงินเกี่ยวกับสินค้าให้ตัวการทราบทุก ๆ ระยะ ……………..เดือน หากตัวการเห็นว่าบัญชีการเงินถูกต้องก็จะแจ้งให้ตัวแทนทราบ หากบัญชีการเงินไม่ถูกต้องตัวการก็จะส่งพนักงานของตัวการไปตรวจสอบบัญชีการเงินและสินค้า

ข้อ 9. วิธีการส่งสินค้า
(1) ตัวการจะจัดสินค้าให้ตัวแทน เมื่อได้รับแจ้งตามใบสั่งสินค้าตามแบบฟอร์มของตัวแทน

ตัวแทนจะต้องแจ้งให้ตัวการทราบภายในกำหนด…….วัน หากตัวแทนมิได้แจ้งให้ถือว่าสินค้าที่ตัวการได้จัดส่งไปนั้นถูกต้องครบถ้วนแล้ว
(4) กรณีที่สินค้าที่จัดส่งเสียหาย หรือสูญหายในระหว่างการขนส่งตัวแทนก็จะต้องแจ้งให้ตัวการ
ทราบเช่นเดียวกัน
(5) สินค้าใดที่หมดอายุ หรือเสื่อมสภาพตามที่กำหนดไว้ในสลากตัวแทนจะต้องจัดส่งคืนให้
ตัวการภายในกำหนด………….วัน หากตัวแทนไม่จัดส่งคืนให้ตัวการให้ถือว่าตัวแทนเป็นผู้รับผิดชอบในราคาของสินค้านั้นเอง
